To integrate with the new SFDC org you will need to get a new Marketo instance. We can copy over all Programs and other Assets, but we can't copy over the leads. You'll need to manually migrate Program & List Membership. The primary thing you'll lose is the activity history.

I am in the early stages of a similar project right now for a client. It is a big undertaking so careful planning and documentation up front is key.
If you use SFDC campaigns, you could move those over en masse to the new SFDC instance and then re-synch them with your migrated programs. This should provide an easier way to bring program memberships and statuses into the new Marketo instance.
Another factor to consider is your Marketo cookie database, which will all be lost with your new org. This means things like progressive profiling, prefill, visits webpage activity, etc. will no longer work until you recookie those leads.
If possible consider moving the second SFDC org into the one currently connected to Marketo. Depending on the relative scope and complexity of each SFDC instance, this may incur less data loss than migrating Marketo.
